Welcome to Hey Joe Casting (“Hey Joe,” “we,” “us,” or “our”), a cloud-based casting platform operated by North Shore Media, LLC. These Terms & Conditions (“Terms”) govern your access to and use of our website, applications, and services (collectively, the “Platform”). By creating an account or using the Platform, you agree to these Terms.

1. Eligibility

You must be at least 18 years old to create an account. Minors (under 18) may use the Platform only through an account created and managed by a parent or legal guardian. By creating an account, you represent that the information you provide is accurate and that you have the legal authority to agree to these Terms.

2. Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You agree to provide accurate, current, and complete information during registration and to keep it updated.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. User Types

The Platform supports several user types, including but not limited to:

• Talent: Individuals who create profiles, upload media, and submit to casting opportunities.
• Casting Directors & Session Managers: Professionals who create projects, manage sessions, and review submissions.
• Agencies & Representatives: Organizations that manage talent on the Platform.
• Clients: Individuals or companies that view and review casting sessions.

Each user type has different permissions and access levels. You agree to use the Platform only in accordance with the permissions granted to your account type.

4. Content You Provide

a. Ownership

You retain ownership of the content you upload to the Platform, including videos, photos, resumes, and other materials (“Your Content”). By uploading content, you grant Hey Joe a non-exclusive, worldwide, royalty-free license to host, store, process, display, and distribute Your Content solely for the purpose of operating and providing the Platform.

b. Content Standards

You agree that Your Content will not:

• Violate any applicable law or regulation
• Infringe on any third party's intellectual property or privacy rights
• Contain malware, spam, or harmful code
• Be fraudulent, misleading, or deceptive
• Contain material that is obscene, threatening, or promotes violence or discrimination

c. Content Removal

We reserve the right to remove any content that violates these Terms or that we determine is harmful to the Platform or its users, without prior notice.

5. Video Sessions & Live Features

• Live video sessions are facilitated through the Platform for casting purposes.
• Session hosts may enable recording of live sessions. By participating, you acknowledge that sessions may be recorded.
• You agree not to record, screenshot, or redistribute live session content without authorization from the session host.
• For sessions involving minors, a parent or legal guardian must be present or provide documented consent.

6. AI Features

The Platform may use artificial intelligence and machine learning to enhance casting workflows, including video transcription, content tagging, and search features. By using the Platform, you consent to AI processing of your content for these purposes. You may opt out of non-essential AI processing by contacting us at support@heyjoe.io.

7. Payments & Subscriptions

• Certain features of the Platform require a paid subscription or one-time payment.
• Payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service.
• Subscription fees are billed on a recurring basis. You may cancel at any time, but refunds are not provided for partial billing periods unless required by law.
• We reserve the right to change pricing with reasonable notice.

8. Intellectual Property

The Platform, including its design, features, software, and branding, is owned by North Shore Media, LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our written permission.

9. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Impersonate another person or entity
• Interfere with or disrupt the Platform or its infrastructure
• Attempt to gain unauthorized access to other accounts or systems
• Scrape, crawl, or use automated tools to access the Platform without permission
• Harass, abuse, or harm other users
• Use the Platform to send unsolicited communications
• Circumvent any security measures or access restrictions

10. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

11. Third-Party Services

The Platform integrates with third-party services (such as Stripe for payments and Google for authentication). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party providers.

12. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not guarantee that the Platform will be uninterrupted, error-free, or secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, North Shore Media, LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim related to the Platform shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless North Shore Media, LLC from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third party's rights.

15. Minor Accounts

Accounts for users under 18 must be created and managed by a parent or legal guardian. The parent or guardian agrees to these Terms on behalf of the minor and is responsible for monitoring the minor's use of the Platform. We reserve the right to terminate minor accounts that do not have proper parental oversight.

16. Termination

• You may delete your account at any time through the Platform or by contacting us.
• We may suspend or terminate your account at any time for violation of these Terms, with or without notice.
• Upon termination, your right to use the Platform ceases immediately. Content associated with your account may be deleted in accordance with our data retention practices.

17. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the Platform shall be resolved through binding arbitration in Los Angeles County, California, except that either party may seek injunctive relief in a court of competent jurisdiction.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or an in-app notice and update the “Effective Date” at the top. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
